Project Vision Contract

This Project Vision Contract ("Privacy and Copyright of Puff projects") is executed and agreed upon by:

Matteo Santone or Puff, hereinafter referred to as "Project Owner/s" or "Owner", and

Anyone viewing the contents within this site and related or associated with the Owner, hereinafter referred to as "Visionary",

with reference to the projects, hereinafter referred to as "Project".

1. Project Ownership:

The Project Owner declares and warrants to be the rightful owner of the Project. 

The Project Owner holds all ownership rights, including intellectual property rights, associated with the Project. No ownership or use rights of the Project are transferred to the Visionary under this Contract.

2. Project Viewing:

The Project Owner grants the Visionary the right to view the Project exclusively for portfolio purposes. The Visionary does not acquire any ownership or usage rights of the Project, and viewing the Project does not constitute a license or transfer of rights.

3. Confidentiality:

The Visionary acknowledges that the Project and all information associated with it are of a confidential nature and the exclusive property of the Project Owner. The Visionary agrees to keep all information regarding the Project confidential and not to disclose or use such information for purposes other than viewing the Project, without the written consent of the Project Owner.

4. Breach of Confidentiality:

The Visionary acknowledges that any breach of confidentiality regarding the Project may result in legal consequences, including legal actions for damages and/or criminal actions. The Visionary agrees to indemnify and hold harmless the Project Owner from any liability arising from any breach of confidentiality by the Visionary or its representatives.

5. Restrictions on Use and Disclosure:

The Visionary agrees not to use or disclose any part of the Project or the information associated with it without the written consent of the Project Owner. The Visionary understands that unauthorized use or disclosure of Project-related information may result in legal consequences.

6. General Provisions:

a. Amendments: No amendments to this Contract shall be valid unless agreed to in writing by the Owner themselves.

b. Applicable Law: This Contract will be construed in accordance with the Italian, European and International laws without regard to its conflict of laws principles.

c. Competent Court: Any dispute arising from or in connection with this Contract will be exclusively resolved by a competent court in the Italian jurisdiction.
